What does directors and officers (D&O) insurance cover in Florida?

D&O insurance covers legal defense costs and settlement payouts when executives or board members are personally sued over company management. It protects their personal assets from lawsuits claiming breach of fiduciary duty, mismanagement of corporate funds, or regulatory failures.

What a D&O Insurance Policy Covers

Every D&O form is written a little differently, but most follow this outline. The second column is where boards get surprised.

Usually covered

  • Lawsuits from shareholders or investors over a decision the board made.
  • Regulatory investigations and actions against your directors and officers.
  • Claims from vendors, lenders or competitors over how the company was run.
  • Defense costs, often paid as the case goes on rather than at the end.
  • Reimbursement to the company when it pays to defend its leaders.

Usually not covered

  • Fraud or criminal acts, once a court finds they happened.
  • Bodily injury and property damage, which belong to general liability.
  • Claims known before the policy started, or tied to earlier lawsuits.
  • Profit or pay a leader was never legally entitled to receive.
  • Claims from one insured against another, on many forms.

The Three Sides of a D&O Policy

A D&O policy has separate parts that answer in different situations. Most private companies buy all three.

Side A

Pays your directors and officers directly when the company cannot or will not pay for their defense.

Side B

Reimburses the company after it pays to defend or settle a claim against its leaders.

Side C

Covers the company itself when it is named in a covered claim, such as a securities claim.

Defense costs

Pays attorneys and court costs. On most D&O forms, defense costs reduce the limit you buy.

D&O for a Private Company vs. a Nonprofit Board

A board of directors faces different claims depending on who it answers to.

Private company

Claims come from investors, minority owners, lenders, competitors and employees. A sale, a merger or a new funding round raises the exposure, and many investors require D&O before they put money in. Employment claims are often covered by a separate employment practices liability policy. Mistakes in the services you sell to clients need professional liability instead.

Nonprofit board

Florida law shields nonprofit directors and officers from personal liability for most board decisions (§ 617.0834, Florida Statutes). The organization itself can still be sued, and the defense costs money even when the claim fails. Donors, grantors and volunteers often expect a board to carry D&O. Condo association and HOA boards face the same kind of claims over assessments and rules. The organization's own liability, property and volunteers are covered on our nonprofit insurance and church insurance pages.

Common Questions

Directors and Officers Insurance Questions

What does directors and officers (D&O) insurance cover?

D&O insurance protects the personal assets of corporate directors and board members if they are sued for alleged wrongful management decisions, breaches of fiduciary duty, or poor financial oversight. The policy funds exorbitant legal defense costs and settlements. It strictly excludes proven criminal fraud, bodily injuries, and property damage.

Who needs directors and officers insurance in Florida?

Any entity governed by a board of directors or seeking outside capital must carry D&O. This includes tech startups raising venture capital, 501(c)(3) nonprofits, and HOA/Condo association boards. Top-tier executive talent will routinely refuse to serve on a board that cannot provide a D&O certificate shielding their personal assets from corporate litigation.

How much does D&O insurance cost for a small company?

D&O premiums are calculated using your industry sector, annual revenue, corporate financial stability, and ownership structure. A financially stable, privately held small business pays significantly less than a volatile startup preparing for a major funding round or merger. We benchmark your financials across multiple carriers to find the best rate.

How much D&O insurance does a Florida nonprofit board need?

Standard community nonprofits typically start with a $1 million limit. However, organizations managing massive operating budgets, numerous employees, or substantial government grants frequently escalate to $2 million or more. Because massive legal defense costs eat directly into the policy limit, higher caps are highly recommended to survive prolonged litigation.

Is D&O insurance legally required for a Florida nonprofit?

No, but it is practically essential. While Florida Statute § 617.0834 offers board members limited immunity for good-faith decisions, it does not stop lawsuits from being filed, nor does it pay the crippling attorney fees required to invoke that immunity in court. Major grantors universally require D&O proof before awarding funds.

What is the difference between D&O and E&O insurance?

D&O covers internal management failures, protecting executives accused of mismanaging the company's financial direction or breaching fiduciary duties to shareholders. E&O (Professional Liability) covers external service failures, protecting the company if a client sues because your professional advice or services caused them financial harm.

Why purchase D&O insurance through an independent agency?

D&O policy language is notoriously complex and completely unstandardized. One carrier's form may explicitly exclude claims made by major shareholders, while another fully covers them. An independent broker compares these critical exclusions across multiple A-rated executive risk carriers, ensuring the board understands the exact scope of their protection.

Can your agency insure nonprofit and HOA association boards?

Yes. We place D&O coverage for 501(c)(3) charities, massive condominium associations, religious organizations, and privately held corporations. We review your bylaws and grantor requirements to quote the exact liability limits required, issuing rapid certificates of insurance to your stakeholders.
